Our Terms and Conditions

Fidelity Digital Media Ltd (Trading as Fidelity Photos)

1. Definitions

1.1 “Company” refers to Fidelity Digital Media Ltd.

2.1 “Client” refers to the individual, company, or organisation booking services.

3.1 “Services” refers to photography, videography, editing, production, and related digital media services.

4.1 “Deliverables” refers to all images, videos, digital files, edited materials, and content produced by the Company.

5.1 “Agreement” refers to any signed contract, proposal, quotation, or invoice incorporating these Terms & Conditions.

2. Booking & Acceptance

2.1 A booking is confirmed only when:

  • A written agreement or confirmation is received, and

  • The required deposit has been paid.

2.2 The Company reserves the right to decline any booking at its discretion.

2.3 By paying the deposit, the Client agrees to these Terms & Conditions.

3. Fees & Payment Terms

3.1 A non-refundable deposit of 30% – 50% (or as stated in the agreement) is required to secure a booking date.

3.2 The remaining balance is due:

  • 7 days prior to the event, or

  • Within 14 days of invoice for corporate clients (unless otherwise agreed in writing).

3.3 Late payments may incur:

  • Statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998, and

  • An administration fee.

3.4 Deliverables will not be released until full payment has been received.

4. Cancellations & Rescheduling

4.1 If the Client cancels:

  • The deposit is non-refundable.

  • Cancellation within 14 days of the event may result in up to 100% of the total fee being payable.

4.2 If the Client reschedules:

  • The Company will attempt to accommodate the new date.

  • If unavailable, the booking will be treated as a cancellation.

4.3 If the Company must cancel due to illness, emergency, or force majeure:

  • Liability is limited to a full refund of monies paid.

5. Scope of Services

5.1 The Company will provide services as outlined in the signed agreement or proposal.

5.2 Any additional hours, services, locations, or editing beyond the agreed scope will be charged at the Company’s standard rates.

5.3 The Client is responsible for:

  • Securing venue permissions

  • Ensuring access to locations

  • Obtaining any required filming permits

6. Delivery of Work

6.1 Delivery timelines will be stated in the agreement. Typical turnaround:

  • Photography: 7–21 working days

  • Videography: 14–30 working days

6.2 Delivery is typically via secure online gallery or digital transfer.

6.3 Raw/unedited files are not included unless expressly agreed in writing.

7. Creative Control

7.1 The Company retains full creative control over:

  • Composition

  • Editing style

  • Colour grading

  • Audio mixing

  • Final selection of delivered materials

7.2 Editing revisions:

  • One round of minor revisions is included (unless otherwise specified).

  • Additional revisions will incur additional charges.

8. Intellectual Property & Copyright

8.1 In accordance with the Copyright, Designs and Patents Act 1988, the Company retains full copyright ownership of all images and video content created.

8.2 Upon full payment, the Client is granted a non-exclusive, non-transferable licence to use the Deliverables for:

  • Marketing

  • Corporate communications

  • Social media

  • Internal use

8.3 The Client may not:

  • Resell the content

  • Alter the content significantly

  • Submit content to third parties for editing without written consent from the Company.

8.4 The Company reserves the right to use Deliverables for:

  • Portfolio

  • Website

  • Social media

  • Marketing materials; unless otherwise agreed in writing.

9. Data Protection

9.1 The Company complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

9.2 Client information will be processed solely for business and contractual purposes.

9.3 The Company retains project files for a minimum of 3 months unless otherwise agreed.

10. Liability

10.1 The Company maintains appropriate public liability and professional indemnity insurance.

10.2 In the unlikely event of:

  • Equipment failure

  • Loss of files

  • Technical malfunction

Liability is limited to:

  • Re-performance of services (if possible), or

  • Refund of fees paid.

10.3 The Company shall not be liable for:

  • Indirect or consequential losses

  • Loss of profits

  • Third-party claims arising from Client's misuse of Deliverables

11. Force Majeure

The Company shall not be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to:

  • Natural disasters

  • Government restrictions

  • Strikes

  • Venue cancellation

  • Pandemics

12. Client Responsibilities

The Client agrees to:

  • Provide a safe working environment

  • Ensure cooperation from staff/participants

  • Provide accurate event schedules

  • Designate a decision-maker for approvals

13. Confidentiality

Both parties agree to maintain the confidentiality of any sensitive business information disclosed during the engagement.

14. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Entire Agreement

These Terms & Conditions, together with any signed agreement or quotation, constitute the entire agreement between the parties and supersede all prior discussions or understandings.

16. Acceptance

By signing a proposal, paying a deposit, or engaging Fidelity Digital Media Ltd, the Client confirms acceptance of these Terms & Conditions.
